Dematerialization of Shares
The new provisions of the Commercial Companies Code, which gradually came into force on January 1, 2020, introduced a number of changes in the functioning of non-public joint-stock companies (Act of August 30, 2019, amending the Act – Commercial Companies Code and certain other laws, hereinafter referred to as the "Act"). These changes concern bearer shares and registered shares of joint-stock companies.
As of March 1, 2021, entries in the shareholder register gained legal force, while the legal effect of paper share certificates expired. These certificates retain their evidential value for proving shareholder rights in relation to the company, but only until March 1, 2026.
Since March 1, 2021, only persons disclosed in the shareholder register are considered shareholders in relation to the company.
What is included in the register of shareholders?
The register of shareholders is open to all shareholders registered in it and to the company.
The Register of Shareholders contains a range of information relating to shareholders, including:
- The shareholder’s name and surname or company name,
- The shareholder’s residential/business address, or another address for correspondence,
- The email address (if the shareholder has consented to the inclusion of their email address in the register).

Shareholder entered in the shareholder register
Shareholders who have been entered into the shareholder register can access the Shareholder Register service (Rejestr Akcjonariuszy):
The website is used for ongoing communication with Trigon Dom Maklerski and allows you to obtain up-to-date information about your shares.

Change in the shareholder register – transfer, donation, inheritance
In the case of entering into a civil law agreement (donation agreement, sale-purchase agreement), it is necessary to contact Trigon Dom Maklerski S.A. (hereinafter: “Trigon DM”) to submit a request for a change in the register. As a rule, the request for a change in the Register should be submitted by the Buyer of the shares (and the original agreement, along with any other required documents, should be attached to the request).
In the case of transferring ownership of shares due to inheritance, heirs should contact Trigon DM to present all relevant inheritance documents.
Under the Act of March 1, 2018, on counteracting money laundering and financing terrorism, the Brokerage House is required to apply financial security measures to entities entered into the Shareholder Register.
Financial security measures include, among others:
- Identifying the client and their beneficial owner, and taking actions to verify their identity;
- Determining the ownership and control structure and continuously monitoring the client’s business relationships.
The entry in the shareholder register at the request of the company or another person with a legal interest in the entry is made promptly, but no later than seven days from the date of receipt of the request. If the entry requires the removal of an obstacle, the entry will be made within seven days of its removal.
Trigon DM may refuse to make an entry if it has reasonable doubts about the content and form of the submitted documents, the truthfulness or legality of the signatures of the parties to the agreement.
Disclosure in the Register of Shareholders
Documents of bearer shares, which since March 1, 2021, have probative value and are held in the Deposit of Trigon Dom Maklerski S.A., must be disclosed in the shareholder register with the participation of Trigon Dom Maklerski S.A.
In order to fully exercise shareholder rights (e.g., to participate in the general meeting or make ownership changes), the necessary actions to disclose in the shareholder register should be taken as soon as possible.
